Sales Agreement

Shipping Costs
The customer will pay for return shipping, We realize that it is not your fault if a product is defective, but please understand it is not our fault if a product is defective -- we ship what our distributors & manufacturers provide us with. This is why we share the shipping costs associated with a return replacement. The customer will pay for return shipping, and we will pay to ship the replacement. All the replacement will be done by Ground Service. We cannot offer our everyday low prices and absorb the full cost of handling return shipments.

Package Damaged or Lost
Shipping damage and lost packages must be claimed to the shipping carrier at the time of delivery. If some items are missing, it needs to be reported to MemoryLabs.com within 24 hours as well as shipping carrier

Compatibility
MemoryLabs.com provides technical specifications listed on our website, so that you can make an educated buying decision. For further information or questions beyond what is listed, please check with the manufacturer. MemoryLabs.com can not guarantee compatibility.

Refund
Shipping charges are not refundable. All products returned to MemoryLabs.com for refund are subject to a 20% restocking fee. The 20% restocking fee may be charged on the base of current price.  Products must be returned within 30 days from the date of the original invoice. Memory must be returned within 10 days from the date of invoice for the refund or exchange with the different model. No returns on any type of CPUs.  All which require an RMA number to be assigned by our customer service department.

Non-Returnable Items
Due to manufacturer's warranty policies, MemoryLabs.com can not accept refunds or returns on All Software, Retail Boxed Processors, Notebooks, Blank Media Cartridges, Printer Cartridges, Special Ordered Product and all the Category which displays NOT REFUNDABLE message. No refunds or returns for any phsical damaged merchandise. Defective merchandise can be returned to the manufacturer directly..

Return Merchandise Authorization (RMA) Number
All the returning product requires the RMA number to be assigned by our customer service department. The RMA Department will be not responsible for the returning product without the RMA Number. The returning product without the RMA number will be rejected.

Physical Damage Policy
Physical damage to any product purchased at memoryLabs.com will effectively void warranty coverage. Improper Installation of CPU fans and/or improper clocking may cause CPUs to chip. CPUs that are chipped, burnt or have bent pins are considered physically damaged and cannot be returned for refund or replacement. Physical damage includes but is not limited to improper handling and/or any other type of damage sustained by irregular usage. As a result, MemoryLabs.com will return any physically damaged merchandise back to the customer at the customer's expense.

RMA Replacement
MemoryLabs.com will pay the replacement shipping back to customers with the insured ground service. However, if the product sent back from customer is under normal function condition, MemoryLabs.com will apply the handling charge on customer.  Advanced replacement can only be issued within 30 days approved by the RMA Department. MemoryLabs.com  will charge the replacement cost and shipping. After MemoryLabs.com  receive the defective product, the replacement cost will be credited back to the customer. Customer will be responsible for the shipping charge on any advanced replacement.

Delivery & Shipping Address
Memorylabs.com cooperates with most of shipping companies such as FedEx, UPS and USPS. FedEx is our default shipping carrier. We honor each other’s Service Terms & Conditions. For Signature of Delivery Services, FedEx (nor UPS) does not guarantee that the credit card holder will be the person who signs for the package.

 Due to the high risk of identity theft age, we suggest all of our online customers sign and receive their own packages. Memorylabs.com is not responsible for any chargeback base on the Signature of Delivery.  (For more information about the Signature of Delivery, please go to www.fedex.com or www.ups.com for more details explanation.) We also require our online customers to provide same shipping and billing address, according to The Internet Financial Merchant Policy. Memorylabs.com has the final right to not ship to any unconfirmed address. Memorylabs.com will retain the final right to interpret.

Handling Charges for Redelivery
If customers put the wrong delivery addresses on the sales orders, we have to request FEDEX to redelivery.  The FEDEX will charge $10 for redelivery.  We will apply this expense and $5 more handling fee to your credit card account.

Non-Deliverable Shipping Addresses
MemoryLabs.com ships to addresses in the 50 United States, with the following exceptions:

• Private mail boxing locations (USA)
• Hotels / Motels, etc. (USA)
• Trade Shows / Conventions / Conferences
• Freight Forwarders

Backorder Policy
The product you have ordered is currently unavailable at any of our warehouse locations. This item may not have been available either when you ordered it originally or another customer's order placed ahead of yours may have depleted the available inventory. We apologize for the inconvenience.

Many backordered items are restocked within 7 -10days. With that in mind, we will keep your order open and do our best to ship the item you ordered. If you would like to cancel your backorder, you must get the email confirmation for your backorder cancellation.

For items that are not in stock, we will notify you by e-mail. We will provide you with estimated time of arrival (ETA dates) for any backordered products or offer you another in stock similar part for replacement.

You will receive an email with the shipment tracking number within 24 hours after the order has been shipped.  The online status tracking is only available for shipments directly from San Jose warehouse.

Credit Card Sale:

• We do not process the orders those shipping addresses are not on file with your card-issuing bank.
  
• All credit card orders are subject to verification and approval by the card-issuing bank. If the shipping address is different with the billing address, the cardholder needs to call the bank to add the shipping address on file and leave the bank telephone number in the comments. The order may be delayed for verification.
  
• The billing information must be entered exactly as it appears on your credit card statement. Please check your statement for accuracy to avoid delays in processing your order.
  
• We don't accept international credit card.

Pricing and Typographical Errors

Due to the fast pace of the computer industry, all prices are subject to change without notice. We make every effort to list the most accurate, up to the minute information. Despite our efforts, some items on our website may be mis-priced. If a product is listed at an incorrect price due to a typographical, photographical, or technical error or error in pricing from our vendors, MemoryLabs.com reserves the right to refuse or cancel any orders placed for a product listed at the incorrect price.

If your credit card has already been charged for the incorrect price, we will immediately refund your card and cancel your order. You may also repurchase it for the correct price if you wish to.

Due to the volatility in pricing for computer products, we do not match competitor's pricing and we will not offer price protection beyond the 24hours of purchase. eg. If Intel drops the price of a processor 5 days after your purchase, that is beyond our control and our cost for that same processor when we shipped is also much higher than our current selling price. We will not be able to refund the difference since we had to purchase the processor at a much higher cost to send it to you when you placed your order.

Order Acceptance Policy

Your receipt of an electronic or phone order confirmation does not signify our acceptance of your order. MemoryLabs.com reserves the right at any time after receipt of your order to accept or decline your order for any reason.

Title Transfer

MEMORYLABS.COM retains title to parts and complete systems purchased until the said purchaser pays for items in full at which time the title passes to purchaser.

You agree that any legal action brought against MEMORYLABS.COM shall be governed by the laws of the State of California without regard to its conflict of law principles. You agree that the sole jurisdiction and venue for any litigation arising from your use of or orders made on the MEMORYLABS.COM sites shall be an appropriate federal or state court located in Santa Clara County, California.
